About OCB Ltd




Background

OCB Ltd was Incorporated under the Companies Act of 2006, on the 14th September 2010. The certificate of Incorporation of a Private Limited Company is attached below. The certificate number is 7376156. The English Cricket Board (ECB) see Incorporation as a key quality of a High Performing Cricket Board. The Oxfordshire Cricket Board Directors and Members benefit by having their personal liability limited to £10, only payable should the Company become insolvent.

At the EGM of February 28th 2011 the following resolution (simplified version) was unanimously passed by the membership. The resolution was jointly compiled by the Directors of OCB Ltd. in consultation with a working party appointed at the December 2010 AGM.

1. To accept minor amendments to the Articles of Association. These were originally presented and approved at the September 2010 EGM and filed at Companies House. For completeness corrections are highlighted within the copy attached below. See pages 9,10 & 21.
2. Agree a framework of bye-laws to be adopted at the first meeting of the members. (The intent is for that meeting to be held in the first week of April 2011).
3. To accept the aspirational structure drawn above.
4. To transfer the assets from OCB to OCB Ltd.
5. Close down the OCB.

Governance

The over arching document which controls the objectives of the Company and the way that it is run is called the Articles of Association (AoA). Our AoA is attached below. The AoA was designed such that it enables OCB Ltd to progress to a charitable status should it choose to do so. In addition the Company will be governed by a series of Bye-laws. It is the intention of the Directors to introduce Bye-laws in consultation with the members. Membership meetings will take place 3 times per year to aid this process.

Organisational structure

The organisation is designed with growth in mind. The immediate intent is to grow the number of Directors from 4 to 6. In additional 2 full time employees will split the responsibilities of the existing Cricket Development Manager. One will concentrate on County Cricket, Coaching and the Player pathway and the other on Developing the game in all other forms. This supports the established strategy of 'Developing Excellence' and 'Increasing Participation'. They will be supported by a series of management teams (mapping onto the subjects in the boxes above). The concept of management teams replacing the traditional committee and sub-committee approach. It is the stated intention of OCB Ltd. to involve the membership where at all possible in the day to day management of the company. Members will be actively encouraged to participate in the management teams. With that in mind 3 Membership meetings per year will be held.
